1. Agreement and who may use the Site

Ubitri, LLC ("Ubitri", "we", "us") is a Texas limited liability company. These Terms of Service (the "Terms") govern your use of the Services described below.

You accept the Terms when you check the "I agree to the Terms and Privacy Policy" box while creating an account, and each time you use the Site. If you do not agree, do not use the Site.

You must be 18 or older to create an account. If you use the Site for a business, you confirm that you have authority to bind that business, and "you" includes the business.

2. Definitions

  • "Site" means www.ubitri.com and its pages.
  • "Beta" means a pre-release version of a software product we have not yet released, and any related early-access program.
  • "Services" means the Site, accounts, the contact form, Secret Drop, File Drop, and the Beta.
  • "Professional services" means software development, software services such as hosting, maintenance, integrations, and support, and IT consulting that we perform for a client.

3. Accounts

You need an account to join the Beta and to use account features. When you create one you agree to:

  • give us accurate information and keep it up to date;
  • create only one account for yourself;
  • keep your password and passkeys private and not share your account;
  • use a password that meets our policy of at least 12 characters with an uppercase letter, a lowercase letter, and a number;
  • tell us right away through the contact page if you believe someone else has used your account.

You are responsible for activity that happens under your account. We may suspend or close an account that breaks these Terms, that we believe is being misused, or that has been inactive for a long time. Where practical, we will tell you first.

You can manage passkeys and change your password in Security and passkeys. Password reset by email and self-service account deletion are not available yet. To reset your password or delete your account, contact us from the email address on the account and we will take care of it.

4. Product betas

The Beta is pre-release software. By taking part you understand and agree that:

  • Access is at our discretion. Creating an account lets you request access. We decide who receives it and when, and we may grant, limit, or withdraw access at any time.
  • It will change. Features may be added, changed, or removed without notice. The final product may differ from the Beta, and we may end the Beta at any time.
  • Expect problems. The Beta may contain bugs, errors, and downtime. We make no uptime, support, or response-time commitments for it. Do not rely on the Beta for anything critical, and keep your own copies of anything you put into it.
  • Your data may be deleted. We may delete Beta data when the Beta ends, when we reset it, or on your request. We may not be able to migrate it to the released product.
  • The Beta itself is free. We will not start charging for Beta access without telling you in writing first. Paid plans and other Services are separate, and are governed by section 5.
  • Feedback. If you send us suggestions, bug reports, or other feedback, we may use them freely and without obligation to you. We will not identify you publicly as the source without your permission.
  • Non-public details. Please do not publish screenshots or descriptions of Beta features that we have not made public without asking us first.

5. Paid plans, billing, and refunds

Some Services are sold on a subscription. This section applies when you buy one, and to any invoice we issue you.

What you are buying

  • The price, the billing period, and what a plan includes are the ones shown on the pricing page at the time you subscribe.
  • Prices are in US dollars and do not include sales tax. Where we are required to collect it, tax is added and shown on the invoice.
  • Paying by bank debit may be offered at a lower price than paying by card. If you change how you pay, the new rate applies from your next renewal rather than immediately.

Payment

  • Payments are processed by Stripe. You enter your card or bank details on Stripe's own checkout page. We never receive or store them.
  • By subscribing you authorize us to charge the payment method on file for the plan you chose, plus any tax, at the start of each billing period until you cancel.
  • You confirm that you are authorized to use the payment method you provide.

Free trials

Where a plan offers a free trial, nothing is charged during it. When the trial ends the subscription begins and the first payment is taken automatically, unless you cancel before then. The date your trial ends is shown on your billing page.

Automatic renewal and cancellation

  • Subscriptions renew automatically at the end of each billing period, at the price then in effect, and continue until you cancel.
  • You may cancel at any time from your billing page. No call, email, or notice period is required.
  • Cancelling stops the next renewal. It does not end the period you have already paid for: you keep access until that period ends.

Changing plan

You may change plan or billing period at any time. The change takes effect immediately, and Stripe credits the unused part of what you have already paid against the cost of the rest of the period.

Price changes

We may change our prices. A change to the price of a subscription you already hold takes effect at your next renewal, and we will email you at least 30 days before it does. If you do not want to pay the new price, cancel before it takes effect.

Failed payments

If a payment fails we will retry it over the following days and email you. If it remains unpaid we may suspend or cancel the subscription. You remain responsible for amounts that have already fallen due.

Invoices

We issue an invoice for each payment and email it to you with a PDF attached. Your invoices are also listed on your billing page. An invoice for work outside a subscription is due within the period stated on it.

Refunds

  • Except where the law requires otherwise or we agree in writing, payments are non-refundable. Cancelling part-way through a billing period does not entitle you to a refund for the remainder of it.
  • If we cancel your subscription for a reason other than your breach of these Terms, we will refund the unused part of the period you have paid for.

Taxes

Amounts are exclusive of taxes. Where we are required to collect sales or similar tax we add it to your invoice. You are responsible for any other taxes arising from your use of the Services.

6. Professional services

Professional services are provided under a separate written agreement, such as a proposal, statement of work, or contract, signed or accepted by both parties. That agreement sets the scope, fees, warranties, and other terms for the work.

These Terms still apply to your use of the Site. Where a signed agreement and these Terms conflict, the signed agreement controls for that engagement. Nothing on the Site is a binding offer to perform professional services until we agree in writing.

7. Acceptable use

You agree not to:

  • use the Services for anything unlawful or to violate someone else's rights;
  • try to access accounts, systems, or data you are not authorized to access, or probe or test the security of the Site without our written permission;
  • interfere with the Site, for example by sending excessive automated requests, overloading it, or bypassing rate limits, account lockouts, or other protections;
  • upload or transmit malware or other harmful code;
  • impersonate any person or business, or misrepresent your relationship with anyone;
  • collect or scrape personal information about other people from the Site;
  • send us content through the contact form or the Beta that is unlawful, infringing, defamatory, or harassing;
  • copy, resell, reverse engineer, or create derivative works from the Site or the Beta, except as the law allows.

8. Intellectual property

Ubitri owns the Site, the Beta, and their content, including text, design, code, logos, and the Ubitri name and marks. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose under these Terms. We keep all rights not expressly granted.

You keep your rights in anything you send us through the contact form or put into the Beta. You grant us a non-exclusive, royalty-free license to use it as needed to respond to you, operate and improve the Services, and run the Beta. Feedback is covered in section 4.

If you believe content on the Site infringes your rights, tell us through the contact page with enough detail for us to find and review it.

9. Third-party services and links

Passkeys rely on your device or passkey provider, such as Apple, Google, Microsoft, or a password manager. Payments are processed by Stripe, and your use of its checkout page is also subject to Stripe's own terms. Those services are governed by their own terms and privacy policies. We do not control them and are not responsible for them.

The Site may link to other websites. We do not endorse them and are not responsible for their content or practices.

10. Privacy

Our Privacy Policy explains what information we collect, how we use it, and the choices you have. It is part of these Terms.

11. Disclaimer of warranties

THE SERVICES, INCLUDING THE BETA, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, UBITRI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECT WILL BE CORRECTED.

THIS SECTION DOES NOT APPLY TO WARRANTIES STATED IN A SEPARATE SIGNED AGREEMENT FOR PROFESSIONAL SERVICES, AND IT DOES NOT LIMIT ANY WARRANTY THAT CANNOT BE DISCLAIMED UNDER APPLICABLE LAW.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, UBITRI AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED US DOLLARS (US $100) OR THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND THEY DO NOT REPLACE THE LIABILITY TERMS OF A SEPARATE SIGNED AGREEMENT FOR PROFESSIONAL SERVICES.

13. Indemnification

You agree to defend, indemnify, and hold harmless Ubitri and its members, managers, employees, and contractors from claims, damages, and reasonable costs, including attorney's fees, that arise from your breach of these Terms, your misuse of the Services, or content you submit. This does not cover claims caused by Ubitri's own negligence or misconduct.

14. Termination

You may stop using the Services at any time. To close your account, contact us from the email address on the account and we will delete it as described in the Privacy Policy.

We may suspend or end your access to the Services, or to the Beta, at any time if you break these Terms, if we believe your use creates risk for us or others, or if we discontinue the Services or the Beta.

Sections 4 (feedback), 5 (amounts already owed), 8, 11, 12, 13, 16, and 17 survive termination, together with anything else that by its nature should survive.

15. Changes to these terms

We may update these Terms as the Services change. When we do, we will change the "Last updated" date at the top of this page. For material changes we will post a notice on the Site or email account holders before the change takes effect. Continuing to use the Services after a change means you accept the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of the State of Texas and applicable United States federal law, without regard to conflict-of-law rules.

If a dispute arises, either side will first describe it to the other through the contact page (or, for us, by email to the address on your account) and both sides will try in good faith to resolve it for 30 days before filing suit.

Any lawsuit arising out of or related to these Terms or the Services must be brought in the state or federal courts located in Johnson County, Texas. You and Ubitri each consent to the personal jurisdiction of those courts. Either side may seek an injunction in any court with jurisdiction to stop unauthorized use of the Services or infringement of intellectual property.

17. General terms

  • Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and Ubitri about the Services. Signed agreements for professional services stand on their own.
  • Severability. If a court finds part of these Terms unenforceable, the rest stays in effect and the unenforceable part is limited to the minimum extent necessary.
  • No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.
  • Assignment. You may not transfer your account or these Terms to anyone else. We may assign these Terms to an affiliate or a successor in a merger, sale, or reorganization.
  • Force majeure. We are not liable for delays or failures caused by events outside our reasonable control, such as outages at our hosting provider, natural disasters, or government action.
  • Electronic communications. You agree that we may communicate with you electronically, including by email to the address on your account and by notices on the Site, and that those communications satisfy any requirement that they be in writing.
  • Notices to us must be sent through the contact page.
  • Headings are for convenience only and do not affect interpretation.

18. How to contact us

Questions about these Terms go through the contact page. Choose the topic "Something else" and we will reply by email.
